RetainerMeter Web terms of service

Operator and contact. RetainerMeter Web is operated by Hernan Morales, a sole trader trading as RetainerMeter. The service contact is hello@retainermeter.com.

1. Scope

These terms cover the cloud-hosted RetainerMeter Web edition for independent consultants. Desktop is a separate local-first product governed by its Desktop licence terms. The editions do not synchronize and purchases are separate.

2. Account and permitted use

Web v1 is a single-user service. The account owner may use it for their own professional work and is responsible for access to the verified email account, exported records, and lawful handling of client information. Organizations, invitations, teams, roles, sharing, resale, sublicensing, and hosted access for other users are not included.

3. Trial, pilot access, and subscription

The standard trial begins after successful email verification and provides 30 days of full access without a card. A written promotional or pilot approval from RetainerMeter may provide a longer stated access period for the approved account. Subscription prices, cancellation, grace, retention, and refund rules are described in the subscription terms, which form part of these terms.

4. Customer content

The customer controls the consultant, client, work-entry, and invoice content placed in Web and grants RetainerMeter only the permission needed to host, secure, back up, process, and export it to provide the service. The customer must have a lawful basis to process personal information and must avoid uploading material they are not entitled to use.

5. Records and invoice review

RetainerMeter is workflow software, not accounting, tax, legal, or financial advice. The customer must check invoice calculations, tax settings, payment details, saved recipients, and exports before relying on or sending them. A confirmed invoice-email action instructs RetainerMeter and its declared email provider to process the selected PDF and recipients for delivery; provider acceptance does not guarantee inbox delivery. The customer remains responsible for exporting and retaining statutory business records.

6. Availability and changes

The service is provided on an as-available basis. Reasonable maintenance, security action, provider failure, or events outside the operator's control may interrupt access. Material changes that adversely affect active subscribers will be communicated reasonably, subject to urgent security and legal needs.

7. Security

The customer must keep email access secure and promptly report suspected account misuse. Web uses email-code authentication and provider-managed cloud security; it is not represented as end-to-end encrypted. Attempts to bypass access controls, disrupt the service, inspect another account, or abuse rate limits are prohibited.

8. Suspension and termination

Access may be limited to protect accounts, comply with law, address non-payment, or stop material abuse. Ambiguous lifecycle or billing state should be held for review rather than triggering workspace deletion. Customers may cancel renewal or request verified account deletion through the service.

9. Warranties and liability

RetainerMeter Web is provided to the fullest extent permitted by law without a promise that it will be uninterrupted, error-free, or suitable for every business, tax, accounting, legal, or regulatory requirement. Nothing in these terms excludes or limits consumer rights, liability, or remedies that cannot lawfully be excluded or limited. To the fullest extent permitted by law, RetainerMeter is not liable for indirect loss, lost profit, lost revenue, lost business, lost goodwill, or consequential damage. Any aggregate liability relating to the service is limited to the amount paid for the affected Web subscription during the 12 months before the event giving rise to the claim, except where applicable law requires a different result.
