Terms and Licence

These terms apply to RetainerMeter, a local-first desktop app for tracking retainer work, billing records, and invoice exports. By buying, downloading, installing, or using RetainerMeter, you agree to these terms.
1. Trial first
RetainerMeter is offered with a 30-day trial so you can decide whether it is suitable before buying. You are responsible for checking that the app works for your workflow, operating system, invoices, and business requirements during the trial.
2. Licence
A paid RetainerMeter v1 licence gives one person permission to use RetainerMeter v1.x for their own consulting or business work. You may install it on devices you personally use. You may use it for unlimited clients and retainers.
You may not resell, share, sublicense, publish, rent, host, or redistribute the app or licence key. You may not reverse engineer or modify the app except where applicable law gives you that right.
3. Ownership and data
RetainerMeter stores its working data locally on your device. You are responsible for keeping backups, securing your device, and checking exported invoices before sending them to clients.
Your client records, billing history, and exports remain your responsibility. RetainerMeter does not provide accounting, tax, legal, or financial advice.
4. Maintenance plan
The optional maintenance plan is separate from the v1 licence. While active, it may include compatibility fixes, minor v1 improvements, maintenance updates, and reasonable support. It does not include custom development, bespoke integrations, hosted services, third-party fees, or major version upgrades unless expressly stated.
If you cancel maintenance, your RetainerMeter v1 licence keeps working, but you may stop receiving maintenance updates and support after the paid period ends.
5. Major upgrades
Major upgrades, such as v2.0 or later, may be sold separately. Major upgrades are optional. If you do not buy a major upgrade, your existing v1 licence remains usable according to these terms.
6. Updates and availability
Updates are provided at our discretion. We may change, pause, or discontinue update channels, download hosts, support processes, or maintenance offerings. We will try to act reasonably, but we do not guarantee that every issue, platform change, or compatibility problem can be fixed.
7. Refunds and cancellation
Refunds and cancellation are covered by the Refunds Policy. Nothing in these terms limits statutory rights that cannot legally be limited.
8. Warranties
RetainerMeter is provided on an “as is” and “as available” basis to the fullest extent permitted by law. We do not guarantee that the app will be error-free, uninterrupted, or suitable for every business, tax, accounting, legal, or regulatory requirement.
9. Liability
To the fullest extent permitted by law, we are not liable for indirect loss, lost profit, lost revenue, lost business, lost data, lost goodwill, or consequential damage. Our total liability for claims relating to RetainerMeter is limited to the amount you paid for the app or maintenance in the 12 months before the claim, unless applicable law requires otherwise.
10. Consumer rights
RetainerMeter is primarily intended for business and professional use. If you buy as a consumer, you may have legal rights that cannot be excluded. These terms do not override those rights.
